Use NiuTools responsibly.

You must be old enough to consent to these Terms under the laws where you live, or use the Services with authorization and supervision from a parent, guardian, school, or organization. You are responsible for accurate account information, keeping credentials confidential, and all activity under your account.

Do not share personal login credentials. Contact us promptly if you believe your account has been accessed without permission. We may require verification or suspend account access when there is a security risk.

NiuTools provides tools for Chinese learning, reading, writing, and workflow organization, including pinyin conversion, simplified and traditional Chinese conversion, HSK vocabulary lookup, grammar checking, email rewriting, Ask, history, favorites, account settings, usage management, and subscriptions.

Some features are free. Some features require sign-in, use AI credits, or require a paid plan. We may improve, add, limit, suspend, or remove features over time. Beta, experimental, or preview features may be unstable and may change without notice.

NiuTools outputs are learning aids, text organization tools, and writing references. They are not legal, medical, financial, immigration, academic integrity, or other professional advice.

AI and language tools may produce inaccurate, incomplete, contextually inappropriate, or non-unique results. You are responsible for reviewing output before submitting assignments, publishing, sending it to others, or using it commercially.

You may submit text, questions, settings, feedback, and other materials as input and receive outputs generated by tools or AI models. You retain rights to your input and are responsible for having the rights needed to submit it and use related output.

You grant NiuTools a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and use your input, output, and related metadata to provide the Services, maintain safety, troubleshoot issues, enforce usage limits, save history and favorites you choose to save, improve product experience, and comply with legal obligations.

Current AI features are processed through DeepSeek or an equivalent model provider configured by us. NiuTools does not represent that AI outputs will be accurate, complete, unique, or fit for any specific purpose. You must review outputs before using them.

Do not submit passwords, payment card details, government ID numbers, medical information, unauthorized third-party personal data, trade secrets, or other highly sensitive information in tool inputs, AI chats, or feedback.

You may not use NiuTools to break the law, infringe rights, harass others, deceive people, distribute malware, bypass security controls, abuse interfaces, scrape the Services at scale, interfere with service operation, or generate, rewrite, or distribute content you are not allowed to use.

You may not attempt to bypass AI credits, subscription limits, access controls, rate limits, or other technical protections. We may investigate suspected abuse and restrict, suspend, or terminate access when needed.

Paid plans, prices, included AI credits, billing periods, and plan benefits are shown at checkout. Unless stated otherwise at checkout, subscriptions may renew automatically until canceled.

Payments, invoices, taxes, and payment methods are handled by Stripe, PayPal, or another payment provider enabled at checkout. Subscription status usually updates after provider confirmation or webhook synchronization. After cancellation, you can generally use paid benefits until the end of the paid period.

If you switch from monthly Plus to yearly Plus, the yearly subscription starts after the payment provider confirms payment, and the old monthly subscription is generally canceled to avoid future duplicate billing. Paid monthly fees are not automatically refunded or credited toward the yearly subscription; unless stated otherwise at checkout, we may grant one-time AI credit compensation based on unused AI credits from the original monthly billing period.

Except where required by applicable law, expressly stated at checkout, or required by a payment provider’s rules, paid subscription fees are generally non-refundable. We may choose to provide refunds, credits, or AI credit adjustments for accidental purchases, duplicate charges, service unavailability, or other special circumstances.

AI credits are server-side usage limits and may be consumed by request, character count, mode, or feature. Different features may consume different credit amounts, as shown in the product interface.

Free accounts receive 15 AI uses per month and Plus accounts receive 300 AI uses per month unless a checkout page, promotion, or account adjustment states otherwise.

Unused free or subscription credits may not roll over and may expire when an account is closed, a plan changes, payment fails, or service access ends. We may grant bonus credits for testing, support, promotions, or service adjustments.

We process account data, workspace history, favorites, settings, AI usage records, feedback, subscription state, technical logs, and support information as described in our Privacy Policy.

Certain AI, email, analytics, database, hosting, payment, authentication, and error monitoring features rely on third-party providers, including DeepSeek, Stripe, PayPal, Resend, PostHog, database/hosting providers, and monitoring webhook recipients. When you use those features, relevant data may be transferred to and processed by those providers.

The website, apps, interfaces, marks, code, databases, tool design, copy, visual elements, and other materials in the Services are owned by NiuTools or its licensors. Except as expressly allowed by these Terms, you may not copy, modify, reverse engineer, sell, rent, or sublicense any part of the Services.

If you submit suggestions, questions, ideas, or feedback, you agree that we may use them without restriction or payment to improve, develop, and promote NiuTools.

NiuTools may integrate with or link to third-party models, payment, email, analytics, hosting, authentication, content, or other services. Third-party services are provided by their respective providers and may be subject to their own terms and privacy policies.

We do not control the availability, accuracy, security, or continued support of third-party services. Interruptions, changes, or limitations from third parties may affect parts of NiuTools.

You may stop using the Services, delete individual saved history records, clear saved history, and submit an account deletion request in settings. Current account deletion requests are recorded and processed by administrators; until processing is completed, your account may remain available.

Some records may be retained for a reasonable period for legal, financial, safety, dispute, backup, subscription synchronization, or anti-abuse reasons.

If we believe you violated these Terms, created risk, abused the Services, failed to pay fees, or if the law requires action, we may limit, suspend, or terminate your account, access, content, or subscription benefits.

To the fullest extent permitted by law, NiuTools is provided as is and as available. We do not guarantee that the Services will be uninterrupted, error-free, fully secure, or that outputs will be accurate, complete, unique, or fit for your specific purpose.

To the fullest extent permitted by law, NiuTools will not be liable for indirect, incidental, special, punitive, consequential damages, lost profits, lost data, or business interruption. Our total liability is limited to the amount you paid for the relevant Services in the 12 months before the claim. If you paid nothing, our total liability is limited to USD 100.

Unless mandatory consumer protection laws require otherwise, these Terms and disputes arising from the Services are governed by the laws of Hong Kong, without regard to conflict-of-law rules.

Before bringing a formal dispute, the parties will try to resolve it in good faith for at least 30 days by contacting legal@niutools.com. Unresolved disputes must be brought in courts of competent jurisdiction in Hong Kong.

We may update these Terms from time to time. Material changes may be communicated by reasonable means, such as updating this page date, in-product notice, or email. Continued use after changes take effect means you accept the updated Terms.
